  • Only for instrument involving change of ownership, identification numbers of the parties concerned are required to be entered into the memorial.
  • Both the identification numbers of the Assignor & the Assignee should be entered into the memorial.
  • For court orders which involve change of ownership, e.g. vesting order, the identification numbers of the parties concerned are required to be entered into the memorial.

FAQ:

Q1: What should be entered into the memorial if the party is a company not registered in Hong Kong?
A: Indicate the country in which the company is incorporated in the memorial.
Q2: In case of the party is incorporated under Ordinance, what should be entered into the memorial?
A: The Ordinance under and by virtue of which the party is incorporated should be entered into the memorial. If Owners Corporation is involved in an assignment, either "Incorporated under Building Management Ordinance (Cap.344)" or "Certificate of Registration No. (issued by Land Registrar)" should be entered into the memorial.
Q3: What should be specified for parties being a "Tso", "Tong" or "Wui"?
A: The Hong Kong identity card numbers of the managers of the "Tso", "Tong" or "Wui" should be stated.
Q4: What should be entered into the memorial, if the party is a government department?
A: There is no need to state the identification number for government department.
Q5: What should be entered into the memorial if the party is "Urban Renewal Authority"?
A: Please state "A body corporate established under and by virtue of the Urban Renewal Authority Ordinance (Cap. 563 of the Laws of Hong Kong)"
Q7: Can I enter the Business Registration Number for the limited company on the memorial for an instrument involving change of ownership?
A: Yes. Please enter the Business Registration Number (as the Unique Business Identifier of entities adopted by the Companies Registry with effect from 27.12.2023) or the Company Registration Number which is obtainable from the Companies Registry. The lodging parties may be requested to provide documentary evidence for consideration when necessary.
Q8: For instruments involving a change of ownership, such as Assignment, etc, which was executed many years ago, they may not contain information on the parties' HKIC numbers and there is practical difficulty in getting such information. For re-registration of such instruments, will the requirement for specifying the parties' HKIC no. in the memorial be waived?
A: The Land Registry will adopt a flexible approach and would accept non-compliance cases if there is genuine difficulty in meeting the requirement. In this respect, the lodging party is advised to state the difficulty in the letter accompanying the instrument lodged for re-registration for our consideration.
Q9: Why are we sometimes required to specify the identification number of the bankrupt for an Assignment of the bankrupt's property executed by the Official Receiver but sometimes not?
A: Official Receiver is a public officer and does not have identification number in this official capacity. Therefore, for cases where the description in the Assignment simply states the vendor as "Official Receiver", Land Registry does not require lodging party to state the identification number in the memorial. However, if the Assignment describes the vendor as "Chan Tai Man, bankrupt represented by the Official Receiver", the identification number of the bankrupt has to be stated in the memorial.
